Real estate fund Vinci Shopping Centers (VISC11) has signed a memorandum of understanding to sell minority stakes in three malls to Argoplan for an indicative US$ 29.3 million, Seu Dinheiro reports. The stakes are 10% of Prudenshopping, in Presidente Prudente, 10% of Campinas Shopping, in Campinas, and 15% of Shopping Praia da Costa, in Vila Velha.

Payment would come in four equal installments of US$ 7.3 million: one at closing and the others after 12, 24 and 36 months, adjusted for IPCA inflation. The estimated net capital gain is about US$ 8.8 million, and net obligations are expected to fall 24% to US$ 64.3 million. The deal still depends on due diligence, approvals, the release of guarantees and final documents.

Why it mattersThe deal would add cash and reduce obligations at a Brazilian mall fund, which would keep stakes of 45% to 83.7% in the three malls.
